Terms of Service
These Terms of Service (“Terms”) are a legally binding agreement between you (“you”, “your”, “user”) and Sahil Media (“Sahil Media”, “we”, “us”, “our”) governing your access to and use of our website, online intake or enquiry tools, and any related services we make available (together, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services. Where you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.
1. Other documents that apply
Our Privacy Policy explains how we process personal data. Our Cookie Policy describes cookies and similar technologies. Those documents are incorporated by reference where they apply to your use of the Services. If there is a conflict between those policies and these Terms regarding use of the website, these Terms prevail except where data protection law requires otherwise.

3. Description of the Services
We provide media, marketing, and production-related services and information through our website and related channels. Specific deliverables, timelines, fees, and responsibilities for paid work are set out in separate proposals, statements of work, order forms, or written agreements (“Project Agreements”) signed or confirmed between you and us. If a Project Agreement conflicts with these Terms on a specific commercial point, the Project Agreement prevails for that project only.
4. Eligibility and authority
You must be at least the age of legal majority in your jurisdiction to use the Services in a personal capacity. If you use the Services on behalf of a business, you confirm that you are authorised to enter into these Terms for that business. You must provide accurate information in forms, briefs, and communications.
5. Accounts and security
Some features may require registration or sign-in. You are responsible for maintaining the confidentiality of credentials and for all activity under your account. You must notify us promptly of any unauthorised use. We may suspend or disable accounts where we reasonably believe there is a security risk, fraud, or breach of these Terms.
6. Acceptable use
You agree not to, and not to assist others to:
- use the Services in violation of applicable law or third-party rights;
- upload or transmit malware, unlawful, defamatory, harassing, hateful, or infringing content;
- probe, scan, or test the vulnerability of our systems without written permission;
- overload, disrupt, or interfere with the integrity or performance of the Services;
- scrape, harvest, or collect data from the Services by automated means where prohibited by us;
- misrepresent your identity, affiliation, or the origin of communications;
- use the Services to build a competing product or service by systematically copying our materials or workflows, except as permitted by law.
7. Intellectual property
Unless otherwise agreed in writing, Sahil Media and its licensors own all rights in the website, branding, designs, text, graphics, software, and other materials we provide through the Services (excluding your pre-existing materials and your confidential information). You receive a limited, non-exclusive, non-transferable licence to access and use those materials only as needed to use the Services for their intended purpose.
You retain ownership of materials you provide to us (for example briefs, logos, and reference files). You grant us a non-exclusive licence to use, reproduce, modify, and display those materials solely to evaluate enquiries, prepare proposals, and perform services you instruct us to deliver, including storing copies on systems operated by our subprocessors as described in our Privacy Policy.
Ownership and licence terms for final deliverables (for example edited video, graphics, or campaign assets) are as set out in the applicable Project Agreement. In the absence of a written agreement, deliverables are licensed for your internal and commercial use in line with the scope described in the relevant proposal or invoice, and we may retain portfolio rights as separately agreed.
8. Fees, payment, and taxes
Fees, invoicing schedules, currencies, and payment methods are specified in each Project Agreement or invoice. Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for paying where required by law.
Late payment may incur interest or suspension of work as permitted by law and stated in the Project Agreement. We may withhold delivery of final files until outstanding amounts are paid unless we have agreed otherwise in writing.
9. Refunds and cancellation
Because our work is often customised and production-based, refund and cancellation terms depend on the Project Agreement and the stage of work completed. Unless mandatory consumer rights apply in your jurisdiction, fees for work already performed, third-party costs we cannot recover, and committed production slots are generally non-refundable. If you are a consumer where local law grants cooling-off rights, those rights apply only to the extent required by that law.
10. User submissions and conduct
You are responsible for the legality and accuracy of content you submit (including references, scripts, talent consents, and brand assets). You warrant that you have the rights and permissions needed for us to use such content to perform the Services. You must not submit content that infringes intellectual property, privacy, publicity, or other rights of third parties.
11. Confidentiality
Each party may receive non-public information about the other’s business (“Confidential Information”). The receiving party will use reasonable care to protect Confidential Information and use it only for the purpose of performing or receiving the Services, except where disclosure is required by law or the information becomes public through no fault of the receiving party. Additional confidentiality terms may appear in a Project Agreement or separate NDA.
12. Third-party services
The Services may link to or integrate with third-party tools (for example hosting, storage, analytics, or communication platforms). Your use of third-party services may be subject to their terms. We are not responsible for third-party services we do not control.
13. Disclaimers
Except where prohibited by law, the Services are provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted. We do not warrant that the Services will be uninterrupted or error-free, or that content will meet every expectation without revision governed by the relevant Project Agreement.
14. Limitation of liability
To the maximum extent permitted by applicable law, neither Sahil Media nor its directors, employees, or suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.
Subject to the preceding paragraph, our aggregate liability arising out of or related to the Services or these Terms (whether in contract, tort, or otherwise) is limited to the greater of (a) the amount you paid us for the specific project giving rise to the claim in the twelve (12) months before the event, or (b) one hundred US dollars (USD 100) if no fees were paid for that period. Nothing in these Terms limits liability that cannot be limited under applicable law (including death or personal injury caused by negligence, fraud, or wilful misconduct).
15. Indemnity
You will defend, indemnify, and hold harmless Sahil Media and its personnel from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your breach of these Terms, or your misuse of the Services, except to the extent caused by our wilful misconduct.
16. Suspension and termination
We may suspend or terminate access to the Services or to specific features if you materially breach these Terms, create legal or security risk, or fail to pay amounts due in accordance with a Project Agreement. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, and governing law) survive termination.
17. Changes to these Terms
We may modify these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. Where changes are material and we have your contact details, we may also notify you by email or an on-site notice. Continued use of the Services after the effective date constitutes acceptance of the revised Terms, except where applicable law requires explicit consent.
18. Governing law and disputes
These Terms are governed by the laws of Libya, without regard to conflict-of-law rules that would require another jurisdiction’s law to apply. Subject to mandatory rights you may have in your country of residence, courts located in Libya have non-exclusive jurisdiction over disputes arising from these Terms or the Services. Before initiating formal proceedings, the parties agree to attempt in good faith to resolve disputes through direct contact at hello@sahilmedia.ly.
If you are a consumer in the European Economic Area or United Kingdom, you may also have the right to use an alternative dispute resolution body or court in your country of residence where mandatory law so provides.
19. General
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms constitute the entire agreement between you and Sahil Media regarding the subject matter here and supersede prior understandings on the same subject, except for Project Agreements that expressly add to or vary these Terms for specific work.
